The present Terms and Conditions govern the participation of your institution to the gpi Tracker Portlet Proof of Concept.

1 | During the SWIFT gpi Tracker Portlet Proof of Concept (PoC), SWIFT will provide certain deliverables to the Participant: 

  • PoC planning
  • Solution design and scope of the Proof of Concept 
  • Portlet component to be integrated with the bank’s web server and documentation
  • Testing scenarios

2 | The institution invited by SWIFT to participate in the Proof of Concept (the Participant) agrees to evaluate and provide feedback to SWIFT on the Proof of Concept Deliverables (Feedback).

3 | These Proof of Concept Deliverables are prototype versions and have therefore not undergone full and final qualification. They are made available on an ‘as is’ basis, without any warranties of any kind, and their provision or use may be amended or suspended at any time upon notice by SWIFT.

4 | The Participant acknowledges and agrees that SWIFT may use as it sees fit any Feedback provided by the Participant on the Proof of Concept Deliverables, and that SWIFT owns all intellectual property rights on the Proof of Concept Deliverables. When providing Feedback, the Participant agrees that SWIFT will own the intellectual property rights on such Feedback, in view of allowing SWIFT to commercialise a solution integrating such Feedback for the benefit of its community, at its discretion.

5 | The Participant may use the Proof of Concept Deliverables for the purposes of evaluating them and providing Feedback during the term of the Proof of Concept, and will cease any such use upon termination of the Proof of Concept.

6 | The Proof of Concept Deliverables are confidential and may be used by the Participant for the sole purpose of participating to the Proof of Concept. The Participant may distribute the Proof of Concept Deliverables within its own organisation. Any other use or distribution of the Proof of Concept Deliverables requires SWIFT prior permission.

7 | When evaluating the Proof of Concept Deliverables, the Participant may only use test data (which means either anonymised or fictitious data). The use of real transaction data is not allowed, and SWIFT will not track in the gpi Tracker any transaction data used in the Proof of Concept.

8 | The Proof of Concept Tracker Portlet does not connect to the gpi Tracker or any other SWIFT production environment and does not require the use of any of the existing SWIFT connectivity and software products used by the Participant. The Proof of concept tracker portlet is a web portlet (java) with embedded transactions samples.

9 | Use of the Proof of Concept Deliverables are at the Participant’s own risk and under its sole and exclusive responsibility. Except for fraud or gross negligence by SWIFT, the Participant acknowledges and agrees that SWIFT’s entire liability related to the provision and use of the Proof of Concept Deliverables, whether in contract, tort or otherwise, will be limited to 10,000 Euro. 

10 | The provision and use of the Proof of Concept Deliverables are free of charge for the duration of the Proof of Concept only. 

11 | Each party shall pay its own costs incurred in connection with the Proof of Concept, including but not limited to all travel expenses, where applicable. 

12 | The Participant may not transfer any rights or obligations in connection with its participation to the Proof of Concept without SWIFT's prior written consent.

13 | The Participant authorises SWIFT to publicly advertise its participation in the Proof of Concept.

14 | These Terms and Conditions shall enter into force upon their online acceptance by a representative of the Participant on the website of SWIFT, and shall remain in effect until termination of the Proof of Concept, as announced by SWIFT, unless terminated early by SWIFT or the Participant for convenience upon one-week prior notice.

15 | These Terms and Conditions reflect the entire understanding of the parties in respect of their subject matter and can only be modified via online acceptance of such modifications by the Participant.

16 | The provisions of these Terms and Conditions which expressly or by their nature survive expiration or termination of the Terms and Conditions, including but not limited to clauses 4 (Intellectual Property rights), 6 (Confidentiality obligation), and 9 (Liability) will remain in effect after the expiration or termination of these Terms and Conditions.

17 | These Terms and Conditions are governed by Belgian law and all disputes will be submitted to the exclusive jurisdiction of the Brussels courts, Belgium.
